Data License

This Data License governs the content and data in any Dossier purchased from the Foundry Exchange (a Commercial-use license) and the free academic teaching packages (an Academic / Non-Commercial license), and is incorporated into the Terms of Sale.
  1. Grant. Subject to this License and the Terms of Sale, MightyCloud Collective grants you a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the Dossier’s content internally for research, evaluation, and commercial-diligence.
  2. Permitted use. Internal analysis; informing your own independent R&D; internal citation with attribution to MightyCloud Collective.
  3. Substantiation — one input, not evidence. The Dossier is one computational input to your own independent substantiation process; it is not, and may not be represented as, experimental evidence, clinical substantiation, or proof of any structure-function or health benefit. You are solely responsible for developing competent and reliable scientific evidence and for all regulatory and claims decisions; nothing here authorizes you to cite MightyCloud Collective or the Dossier as substantiation for any claim.
  4. Restrictions. You may not (a) resell, redistribute, or publish the Dossier; (b) sublicense/transfer except to your own staff bound by equivalent obligations; (c) remove notices, disclaimers, or provenance attestations; (d) represent predictions as experimental results or a Company endorsement; or (e) use it to make a disease, treatment, or efficacy claim.
  5. Ownership. Company retains all right, title, and interest in the Dossiers, the Exchange, the discovery methods, models, training data, and any novel-composition structures (NDA-gated, never public).
  6. Computational nature; your responsibility. All content is computational and pending wet-lab validation. You are solely responsible for independent verification, wet-lab work, and your own freedom-to-operate and regulatory determinations.
  7. Feedback. Any feedback may be used by Company without obligation.
  8. Termination. Terminates automatically on material breach; cease use and destroy copies on termination. Ownership, Restrictions, and Liability survive.
  9. Higher tiers. Non-public tiers (novel-composition leads, methodology) require a separate written NDA or agreement.
  10. Academic / non-commercial license. The free teaching packages (L0–L3) are licensed separately for non-commercial research and education only, to an Academic / Non-Commercial User (an individual acting on behalf of an accredited degree-granting institution or registered non-profit), verified by institutional email and a click-through attestation at access. Commercial use, product development or substantiation, startup/spin-out use, commercially-sponsored work, or resale/redistribution is prohibited and is a material breach requiring a Commercial-use license before such use. Escalation: obtain a Commercial-use license by purchasing the dossier/bundle, or contact research@omnirayn.com for academic-spin-out rates or a broader/enterprise license.

Engagement deal structure (indicative). The Exchange offers two self-serve report licenses — the longevity enrichment report and the metabolic knowledge-grade report — as flat, one-time report licenses (no milestones, no royalty): they are computational, pending wet-lab, and are one input, not substantiation. Higher-grade engagements — the genetics-validated buy-grade oncology shortlist and the NDA-gated novel-composition discovery programs — are offered as an option-to-license: an upfront option / evaluation fee, then development milestones and a royalty on resulting licensed assets. All such terms are negotiated under NDA, with the specific economics set out only in the executed agreement and subject to counsel. Background IP (the engine, fine-tuned/abliterated models, methods, curated databases, weights, and signatures) is always retained by the Company and is never sold; only foreground rights to a disclosed deliverable or licensed composition are negotiated, and never silently. Royalties, where they apply, attach only to a material, transferred asset — never to a disclaimed report — consistent with the substantiation terms above. Nothing here is an offer of specific terms; all outputs remain computational and pending wet-lab.
